Basic Policy

In order to promote the understanding of shareholders, investors and all stakeholders regarding the Company and to ensure appropriate recognition, Kyosan abides to relevant rules such as the Financial Instruments and Exchange Act and Timely Disclosure Rules on Corporate Information of Listed Companies (the “Timely Disclosure Rules”) as established by the Tokyo Stock Exchange, and make disclosures in an accurate, fair, timely and appropriate manner.
In addition, Kyosan strives to proactively disclose any information that might effectively assist deeper understanding of the Company, even if they are not subject to the Timely Disclosure Rules.

Disclosure Method

Abiding to the Timely Disclosure Rules, Kyosan discloses information subject to the said Rules using the Timely Disclosure network (TDnet) platform provided by the Tokyo Stock Exchange, after prior explanation to the said Exchange. After disclosure, the same information is disclosed on the Company website, etc. without delay.
In addition, Kyosan strives to proactively and fairly disclose any information that might effectively assist deeper understanding of the Company through platforms such as the Company website, even if they are not subject to the Timely Disclosure Rules.

Treatment of Future Forecasts and Related Material

Information regarding future forecasts may be included in the Company’s disclosed materials. However, these forecasts are based on information available at the time of disclosure, and actual performances, etc. may differ depending on variables such as changes in the economy.
In addition, disclosed materials are purely for assisting deeper understanding of the Company, and not to be regarded as encouraging investments in our Company.

Silent Period

In order to prevent leakage of financial information and ensure fairness, Kyosan has specified the period from the day following the settlement day (including quarterly settlements) to the day of results announcement the “Silent Period.” During this period, the Company will refrain from answering questions or giving comments regarding financial results.
However, if during this Silent Period, there is a likelihood of great changes to be made to financial results forecasts already disclosed by the Company, it shall abide by the Timely Disclosure Rules and disclose relevant information in a timely and appropriate manner.
In addition, even during the Silent Period, any questions, etc. regarding disclosed information shall be attended to.

Compliance with the Disclosure Policy

The Company complies with the Disclosure Policy stated above also from the viewpoint of Corporate Social Responsibility (CSR).
